About Ntokoto Rail Holdings

Ntokoto Rail Holdings is a newly established rail group building its business from the ground up, including its legal, governance, and compliance infrastructure. Based at our Head Office in Fourways, Johannesburg, we operate across South Africa and Botswana. This role sits at the foundation of the Group, shaping a function that does not yet exist rather than inheriting one already in place.

What you bring

Must have

• LLB and admission as an attorney, or a Chartered Secretary qualification (CIS/CGISA)
• Minimum 5 years' experience in the rail, construction, or mining sectors
• Strong working knowledge of the Companies Act and King IV
• Demonstrated experience managing multiple brands, entities, or business units simultaneously
• Willingness and ability to travel regularly between South Africa and Botswana

Nice to have

• Prior experience specifically within the rail or broader transportation sector
• Experience building a legal, compliance, or governance function from a greenfield or early-stage base

Key Responsibilities

• Establish and lead the Group's legal, compliance, and company secretarial function from inception
• Manage CIPC filings, statutory registers, and Companies Act compliance across the Group and its subsidiaries
• Embed King IV governance principles into the Group's operating structure and Board processes
• Prepare board packs, agendas, minutes, and resolutions for the Board and its committees
• Draft, review, and manage NDAs, SLAs, and sub-contractor agreements across rail, construction, and operational partners
• Instruct and manage external attorneys where specialist legal support is required
• Oversee POPIA compliance, including data governance policies and breach protocols
• Build compliance frameworks suited to a rail and infrastructure operating environment, tracking regulatory developments affecting the sector

Travel: Regular travel between South Africa and Botswana

Pay: From R720 000,00 per year
